"The virtue of the Companions is that they provide a clear path through what is so often a jungle"  The Right Honourable, Lord Woolf (formerly Lord Chief Justice) on the Companions series

Banking and Capital Markets Companion, Fifth Edition provides a clear and concise examination of the law, practice and procedure of fund raising in banking and capital markets.

Using the unique ‘Montagu-Weston bullet-indent’ approach, the Companion allows you to approach and understand this subject at a depth of your choice. Graphics and flowcharts are also used throughout to aid further comprehension.

This title is based on industry standard materials from the Loan Market Association, the International Capital Markets Association, the International Swaps and Derivatives Association and the British Bankers Association. As such it provides you with a reliable, accurate and succinct view of banking and capital markets fundraising - all in one volume.

This fifth edition has been comprehensively revised and updated to take account of new legislation, regulation, case law and developments in market practice including:

  • Companies Act 2006
  • EU Capital Requirement Directives 2009 and 2010
  • Basel III
  • Corporation Tax Acts 2009 and 2010
  • Finance Acts up to and including Finance (No.3) Act 2010
  • Bank Levy (draft Finance Bill 2011)
  • IFRS 9 as mapped out by the IASB
  • Recent case law covering among other topics: Oral contracts; Interpretation; Guarantees; The ISDA master agreement; Syndicated loan arranger liability.

To reflect these substantial changes this edition has been rearranged with the first three chapters providing an introduction to four main topics - loans, debt securities, collateral and guarantees and derivatives. The final three chapters cover opinions, sovereign borrowing and the principal aspects of taxation relevant to fund raising.

Banking and Capital Markets Companion is a much-needed guide for postgraduates studying for their MA, LLM or LPC. It is also an excellent single-volume reference guide for all banking executives, practitioners and newly qualified lawyers seeking a quick answer, or a starting point for in-depth research, on a particular aspect of the subject.
