This report takes the recognition of state-owned enterprises as the starting point, and tries to show the overall picture of China's legal system on state-owned assets supervision and management. The report analyzes traditional topics such as the transaction rules of unlisted and listed SOEs, and discusses hot issues about state-owned assets supervision in recent years, such as the construction of SOE compliance system, SOE employee stock ownership, and the problems faced by SOEs in participating in private equity investment. In addition to interpreting non-litigation rules, the report also discusses judicial cases in recent years and reveals the attitude and understanding of the judicial organs towards SOE-related rules.
The compilation lists all laws and regulations related to state-owned assets management, including seven chapters of comprehensive issues, property registration, asset assessment, asset and capital verification, state-owned property transfer, SOE reform, and management of state-owned equities.
The special feature introduces major legal issues like the definition and management of state-owned equities, registration of state-owned property, state-owned assets assessment, SOE capital increase, state-owned property transfer, gratuitous transfer of state-owned assets, and reduction of state-owned equities.
7. Column of “SOE mixed ownership reform”
After the publication of Compiling 10 Cases of SOE Mixed Ownership Reform (2019) and Compiling Cases of SOE Mixed Ownership Reform (2020), Wolters Kluwer has published the 20 Cases of SOE Mixed Ownership Reform (2021) for the third year. The report made profound analysis of some cases in 2021, explored creative ideas about the SOE mixed ownership reform, and shared the successful experience and development trend with professionals engaged in the reform.
The report invited lawyers who are deeply involved in the mixed reform of SOEs and central enterprises to conduct in-depth analysis on specific issues based on their practical experience, which not only covered reform topics such as employee stock ownership, share repurchase, market-oriented debt to equity swap, but also issues that require cautious actions, like labor protection, state-owned assets evaluation and trading, and anti-monopoly, with a view to contributing to the practical work of mixed reform of SOEs and central enterprises.
This compilation sorts out more than 30 comprehensive policy papers, fiscal & tax policy documents, and more than 100 relevant policy papers issued by 20 provinces, cities and regions. Policies will be updated from time to time, to provide reference for SOEs to grasp the trend of national and local policies on mixed ownership reform.
8、Column of “import and export and trade controls compliance”
The column is dedicated to topics related to foreign trade compliance practices, including legal compliance guidelines, policy interpretation, in-depth topics, practical guidance, internal training assistants and other resources that are constantly updated; related articles will analyze China's export control regulations, US and EU export controls and economic sanctions system and national security review system, and put forward practical suggestions for Chinese enterprises to avert potential risks.
