Company Law in Hong Kong: Practice and Procedure, 2019 examines the comprehensive case law and legal precedents decided in accordance with the Companies Ordinance (Cap.622) since its enactment 4 years ago. The text provides the most recent precedents, case law, decisions, and amended legislation regarding company practice and procedures over the past year including:

(i) review and analysis of the recent 2018 Companies Ordinance (Cap.622) amendments regarding company transparency and compliance with international anti-money laundering standards;

(ii) introduction to the forthcoming 2019 amendments which

• expand the types of companies within the reporting exemption such that only simplified accounts and directors’ reports are needed,

• update accounting-related provisions to reflect the latest accounting standards, and

• streamline certain provisions to facilitate compliance with corporate filing requirements;

(iii) review of the current regime in relation to corollary legislation; and

(iv) analysis of key court cases reviewed and decided since the new companies regime was enacted.
