Company and securities laws in Malaysia have undergone substantial statutory changes in the last few years, especially in relation to the dimensions and legal content of accountability for corporate powers in the management of companies. Other than numerous statutory amendments and the new Listing Requirements of the KLSE, common law principles applicable to companies in several important areas have been either reviewed or restated in Malaysia and other countries. This second edition seeks to capture the changes that have taken place since 1996.
