About the Author

Alan S. Gutterman

Gutterman is a partner at the San Francisco and Silicon Valley offices of The General Counsel, a provider of interim in-house general counsel and attorney recruitment services. He has more than two decades of experience with internationally recognized law firms counseling small and large business enterprises in the areas of general corporate and securities matters, venture capital, mergers and acquisitions, international law and transactions, strategic business alliances, technology transfers, and intellectual property. In addition, he has held senior management positions with several technology-based businesses.

Gutterman has served in a number of capacities within the Sections of Business Law, International Law and Practice, and Science and Technology of the American Bar Association, and he is currently the co-chair of the Asia/Pacific Committee of the ABA International Law Section and a member of the Executive Committee of the Business Law Section of the State Bar of California. He received his A.B., M.B.A., and J.D. from the University of California at Berkeley, a D.B.A. from Golden Gate University, and a Ph.D. from the University of Cambridge.

He has published numerous books and articles on a diverse range of legal and business topics and has served as an adjunct professor and lecturer on corporate finance, venture capital, corporate law, Japanese business law, and law and economic development.

 

Robert L. Brown

Brown is a member of the Louisville office of Greenebaum Doll & McDonald, where he devotes his attention to representing emerging businesses–both start-ups and established companies going overseas. His areas of expertise include antitrust and unfair competition, corporate and securities, economic development, exports and imports, finance, international, mergers and acquisitions, and product distribution. Brown is admitted as an attorney in New York, Washington, D.C., California, and Kentucky, and is qualified as a solicitor in England, Wales, and Hong Kong. From 1991–1993, he was admitted as a foreign lawyer in Japan. He is presently chair of the American Bar Association, Section of International Law, Africa/Eurasia Division.

Brown’s background blends law and business. During law school, he also obtained a master’s degree in community development and a master’s in business administration. After law school, he worked for one of Japan’s leading trading companies, Mitsui & Co. During two years in its Tokyo head office, he earned a master’s degree in business from a Japanese university. He then became a partner at Pillsbury Madison & Sutro. While working in the firm’s San Francisco office, he taught at Berkeley Law School. Later, he established and became the managing partner of the firm’s Tokyo office.

After receiving a Ph.D. from Cambridge University, he served as general counsel to Tiernan Communications, Inc., a California-based company that was an international leader in production and marketing of digital media products and systems. There he handled legal and regulatory issues, both domestically and internationally. In 2004, he received another Ph.D., this one from the London School of Economics and Political Science, as well as an Advanced Accounting Certificate from Bellarmine University in Louisville, Ky. In 2005, he passed all parts of the CPA exam.
