The seventh edition of Ship Sale and Purchase contains a detailed clause-by-clause analysis of SHIPSALE 22, the new standard form Memorandum of Agreement for ship sales and purchases published by BIMCO in 2022. This clause-by-clause analysis is supplemented by commentary on the corresponding provisions of the other leading standard forms used in the global shipping markets - SALEFORM 2012 (the latest version of the longstanding standard form produced by the Norwegian Shipbrokers' Association), SINGAPORE SHIP SALE FORM 2011 and NIPPONSALE 1999 - and the main differences between these forms and SHIPSALE 22.

This edition of Ship Sale and Purchase also contains a comprehensive description of the many ways in which standard form agreements may be modified, through amendments to the printed terms and the use of additional clauses, to suit the particular requirements of the parties to individual transactions. In addition, it analyses relevant decisions of the English courts and arbitration tribunals and explains the implications of these decisions for ship sale and purchase transactions.

The seventh edition also includes commentary on changes in working practices such as the use of electronic signatures, the practice of "remote" closings, payment mechanisms and the impact of sanctions and anti-corruption legislation.

Iain Goldrein QC practices at the Bar from Chambers at 7 Harrington Street, Liverpool (where he is Deputy Head of Chambers) and at 7 Bell Yard, London. He is a Panel Deemster of the Isle of Man, a Recorder and is authorised to sit as a Deputy High Court Judge. He is a Council Member, International Institute of Experts (Hong Kong) and an advisory editor of Hong Kong Civil Procedure. He is also a Visiting Professor (The Sir Jack Jacob Chair) in Litigation at Nottingham Law School, a Fellow of the Institute of Advanced Legal Studies and an accredited commercial mediator.

Matt Hannaford joined Clyde & Co solicitors as a Partner in March 2005. A member of the firm's transportation finance group, Matt specialises in commercial shipping law with particular expertise in ship finance and ship sale and purchase (including newbuilding projects) and was a member of the BIMCO documentary sub-committee for the preparation of Saleform 2012.

In addition to ship finance work, he regularly advises international maritime clients on mergers and acquisitions, joint-ventures and pooling arrangements. In recent years Matt has been heavily involved in debt finance restructurings, fleet enforcements and advising on insolvency issues. His clients include ship owners and operators, major international banks, ship builders, commodity traders and private equity funds.

Paul Turner is a Partner at Clyde & Co solicitor and a senior member of the firm's shipping, trade & energy group.

He has long experience of working with shipping and offshore companies, debt and equity financiers, shipyards and other industry participants on a wide range of significant asset and business acquisitions and disposals, joint ventures, construction and conversion projects, and complex operating and financing arrangements. His particular areas of interest include the cruise shipping sector, the offshore and tanker sectors, and the mega yacht sector.
