Company law has been in a state of rapid change in many parts of the world over the last decade. The emphasis on change reflects the modernisation of corporate law ideas which can often be traced back to the late nineteenth century. Company law reform also ensures the facilitation of business efficiency, imposing the lowest possible costs upon corporate activity.

The Hong Kong Company Law includes a full and comprehensive annotation of the new Companies Ordinance (Cap 622) which came into operation in March 2014 after a complete rewrite. This rewrite provides a modernised legal framework for the incorporation and operation of companies in Hong Kong, with the aim of enhancing corporate governance, ensuring better regulation and providing better facilitation of business operations. Key changes in Cap 622 include the abolition of par value shares, restricting corporate directorship in private companies, offences relating to contents of auditor’s reports, enhancement of auditor’s rights, abolition of memorandum of association and matters relating to company articles, deregistration and restoration, among many others.

Hong Kong Company Law is structured according to the format of the new ordinance consisting of 21 Parts, 11 schedules, and retains Companies (Winding Up and Miscellaneous Provisions) Ordinance (Cap 32).
